Terms of service
These terms apply when you use the Continuum Labs website, API, console or any related service (the “service”). The service is provided by Continuum Labs Pty Ltd (ABN 40 667 472 826). In these terms, “we” and “us” mean Continuum Labs Pty Ltd, and “you” means the person or organisation using the service.
By creating an account or using the service, you agree to these terms. If you use the service for an organisation, you confirm you have authority to bind it. If you have a signed agreement with us, that agreement applies where it differs from these terms.
1. The service
We give you access to AI models through an API that works with tools built for the OpenAI API. We also provide a console for managing keys, spending limits and usage, and free applications on our website.
The models are developed by third parties and made available under their own licences. You must follow those licences and their use policies. The current list of models is on our models page.
We may add, change or retire models. We will give at least 30 days’ notice before retiring a model, unless we must act sooner for legal, security or supplier reasons.
2. Your account and keys
- Give us accurate details and keep them up to date.
- Keep your API keys secret. Anyone with a key can use the service on your account.
- You are responsible for all use under your account and keys, including use by your staff, clients and contractors.
- Tell us straight away if you think a key has been exposed, and revoke it in the console.
Spending limits, allowances and alerts are tools to help you control cost. You choose and set them. We apply them as configured, but you remain responsible for the usage on your account.
3. Acceptable use
You must not use the service to:
- break any law, or help anyone else do so;
- create or share material that sexualises children, or that harasses, threatens, defrauds or discriminates against people;
- create malware, or attack, probe or overload any system, including ours;
- get around our limits, security or billing, or use another person’s keys;
- make decisions with legal or similarly significant effects on people without appropriate human review;
- process personal information you have no right to process;
- resell or offer the service to others, unless we have agreed to that in writing.
We may investigate suspected misuse and suspend or close accounts that break these rules.
4. Your content
“Your content” means what you send to the service and the answers the models return to you. You own your content. You give us permission to process it only to provide the service to you.
We do not store the content of your API requests or answers once a request is complete, and we never use it to train models. We do record usage details for billing and security, such as times, models, token counts, costs and labels you attach. Our privacy policy explains this in full.
You are responsible for your content. You must have the rights and any consents needed to send it to the service, including for any personal information in it.
5. AI answers
Model answers are generated automatically. They can be wrong, incomplete or out of date, even when they sound confident. They are not legal, financial, tax, medical or other professional advice. Check anything important before you rely on it. You are responsible for how you use answers.
Our free applications, such as the invoice checker, are guides only. They do not replace advice from a registered tax agent or other professional.
6. Prices and payment
- Prices are in Australian dollars and exclude GST. GST is added where it applies.
- Usage is charged at the published price for each model at the time of the request.
- Usage is deducted from your account credit as you go. If your credit runs out, requests are refused until you add more.
- Trial or promotional credit is given at our discretion. It has no cash value and may expire.
- Credit you have paid for is not refundable, except where the law requires it or we close your account without you being at fault.
- Where we agree to invoice you, invoices are payable within 14 days.
- We will give at least 30 days’ notice before raising published prices. Price cuts may apply straight away.
7. Availability
We work to keep the service fast and available, but we do not promise it will be uninterrupted or free of errors. We may need to carry out maintenance or respond to problems with our suppliers. Uptime commitments and service credits apply only where they are set out in a signed agreement.
8. Suspension and closing your account
You can stop using the service and ask us to close your account at any time. We may suspend or close your account if you break these terms, do not pay, or your use puts the service, our suppliers or other customers at risk. Where it is reasonable to do so, we will tell you first and give you a chance to fix the problem.
We may stop offering the service with at least 30 days’ notice. If we do, we will refund any credit you have paid for and not used.
9. Our property
We own the service, our website, our software and our documentation. These terms do not transfer any of it to you. If you send us feedback or suggestions, we may use them without obligation to you.
10. Australian Consumer Law
Nothing in these terms excludes, restricts or changes any right or remedy you have under the Australian Consumer Law that cannot lawfully be excluded.
Where the law allows us to limit our liability for failing to meet a consumer guarantee, and the service is not of a kind ordinarily acquired for personal, domestic or household use, our liability is limited to supplying the service again or paying the cost of having it supplied again.
11. Limits on liability
To the extent the law allows:
- neither of us is liable to the other for loss of profit, revenue, data or opportunity, or for any indirect or consequential loss;
- our total liability to you arising out of the service or these terms is limited to the amount you paid us in the 12 months before the event that gave rise to the claim.
These limits do not apply to liability that cannot be limited by law, or to loss caused by fraud or wilful misconduct.
12. Your responsibility to us
You are responsible for loss we suffer from a claim by someone else, to the extent the claim is caused by your breach of these terms or by your content. We will tell you promptly about any such claim and let you take part in how it is handled.
13. Changes to these terms
We may update these terms. For significant changes, we will give at least 30 days’ notice by email or in the console. If you keep using the service after a change takes effect, the new terms apply. If you do not agree, you can close your account before then.
14. General
- These terms are governed by the law of Victoria, Australia. Both of us accept the jurisdiction of its courts.
- If any part of these terms cannot be enforced, the rest still applies.
- If we do not enforce a term straight away, we have not given up the right to enforce it later.
- You may not transfer your account or these terms without our agreement.
- Neither of us is responsible for delays caused by events outside reasonable control.
